Minterest Corporate Structure FAQ
1. Who owns the Minterest IP today?
In 2023 the protocol’s intellectual property: codebase, brand assets, and supporting technology, was acquired via a secured-creditor sale. A service-provider creditor repossessed the assets after Minterest Labs OÜ failed to pay outstanding invoices, then sold them to the current operating team for cash consideration.
2. Did any debts or liabilities transfer with the assets?
No. The sale contract expressly excluded all debts, legal claims, and contractual obligations of Minterest Labs OÜ. The current operating structure maintains separate governance, accounts, and statutory filings.
3. What is the status of the 2021-22 legacy SAFT / LBP agreements?
Those agreements were executed with Minterest Labs OÜ (or its affiliate BlockByBlock after internal reassignment). The current team has not assumed those contracts. Any recognition of legacy allocations remains voluntary and subject to a future compliant token launch. If a compliant launch proceeds, legacy allocations will be mapped 1 : 1 to the new token supply schedule as a matter of goodwill, not legal obligation.
4. What is the status of the later-stage “MintMinty” SAFTs (2024-25)?
These SAFTs were executed with MintMinty Ltd. (BVI), an affiliate managed by the current team. The economic and risk terms, including the disclosure that token launch depends on regulatory and market factors, remain unchanged. Timing updates are provided in monthly investor communications.
5. What is the present state of the MINTY token?
MINTY tokens have been minted and allocated per the published tokenomics. All allocations are fully locked, non-transferable, and non-tradable. Unlocking/liquidity will proceed only after the token meets product-market-fit, liquidity, and related clearances.
6. Where can I review audits, roadmap drafts, and legal documents?

7. Does the current operating structure bear legal responsibility for past actions of Minterest Labs OÜ?
No. The current team acquired assets only. There was no merger, continuity of enterprise, or acceptance of Minterest Labs OÜ obligations. Any pre-2023 representations or liabilities remain with Minterest Labs OÜ.
8. Is the current operating entity the same legal vehicle as Minterest Labs OÜ?
No. Operations now run through separate legal entities with new governance and directorships. Minterest Labs OÜ no longer plays any role in the protocol’s development or management.
9. Are any of the original team involved in the current entity?
Some original contributors continue in new roles under fresh contracts. No transfer of director or shareholder control occurred, and team members have no carry-over liabilities from their prior engagements.
